Version 2026.09.1 · Effective 2026-09-19

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lamp Logic, a company organized under the laws of the State of South Carolina, USA ("Lamp Logic," "Company," "we," "us," or "our"), governing your access to and use of the Steel Genie software application and all related services (collectively, the "Service").

BY CLICKING "I ACCEPT," CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

If you are accepting these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "User" shall include that organization.

2. Definitions

  • "Service" means the Steel Genie software application, including all features, tools, APIs, updates, and related documentation provided by Lamp Logic.
  • "User Content" means any data, files, drawings, project information, or other materials that you upload, submit, or transmit through the Service.
  • "Output" means any data, models, reports, IFC files, calculations, or other results generated by the Service based on User Content.
  • "Subscription" means the paid plan or license tier under which you access the Service.
  • "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

3. Eligibility

You must be at least eighteen (18) years of age and capable of forming a binding contract under applicable law to use the Service. If you are accessing the Service on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind such entity to these Terms.

4. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Lamp Logic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during the term of your Subscription.

You shall not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble the Service; (c) sublicense, lease, rent, loan, or transfer access to the Service to any third party; (d) use the Service to develop a competing product or service; or (e) remove or alter any proprietary notices on the Service.

5. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Lamp Logic of any unauthorized use of your account or any other breach of security. Lamp Logic shall not be liable for any loss arising from your failure to protect your account information.

6. User Content and License to Process

You retain all ownership rights in your User Content. By uploading or submitting User Content to the Service, you grant Lamp Logic a limited, non-exclusive, worldwide, royalty-free license to access, use, process, copy, and display your User Content solely to the extent necessary to provide, maintain, and operate the Service for you, and to generate the Outputs you request.

LAMP LOGIC WILL NOT USE YOUR USER CONTENT TO TRAIN, DEVELOP, OR IMPROVE GENERAL-PURPOSE MACHINE LEARNING OR ARTIFICIAL INTELLIGENCE MODELS WITHOUT YOUR SEPARATE, EXPLICIT OPT-IN CONSENT.

The license granted in this Section is limited to operating the Service on your behalf. Any use of User Content for model training or product-improvement purposes will be subject to the opt-in mechanism described in our Privacy Policy and governed exclusively by the terms of that consent.

You represent and warrant that you own or have the necessary rights and permissions to submit your User Content and to grant the license described above, and that your User Content does not violate any applicable law or infringe any third-party rights.

7. Acceptable Use Policy

You agree not to use the Service to: (a) violate any applicable law, regulation, or third-party right; (b) upload malicious code, viruses, or harmful data; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to the Service or its related systems; (e) use the Service for any fraudulent, deceptive, or illegal purpose; or (f) reproduce, distribute, or publicly display the Service or any component thereof without prior written authorization from Lamp Logic.

8. Third-Party Integrations

The Service may provide data integration capabilities with third-party software, including but not limited to SDS/2, Tekla Structures, SAP2000, and other applications via the IFC format and other export methods. Lamp Logic uses commercially reasonable efforts to maintain compatibility with listed integrations but does not guarantee uninterrupted operation, accuracy, or full feature parity with any third-party software.

Your use of third-party software is governed by the respective third-party terms and licenses. Lamp Logic assumes no responsibility for the functionality or data integrity of the third-party software itself, or for data loss arising from defects, changes, or discontinuation of third-party software.

9. Engineering Responsibility and Accuracy

Steel Genie is designed to automate steel quantity take-off and modeling processes, including quantity estimation, 3D modeling, IFC file generation, connection calculations (based on user input and in accordance with AISC specifications), and related data management for steel structure projects. The accuracy of Outputs depends on the quality and clarity of source drawings and input data provided by the User.

STEEL GENIE DOES NOT MAKE ENGINEERING DECISIONS. THE SERVICE PROVIDES DATA COLLECTION, MODELING, AND SUPPORTIVE CALCULATIONS ONLY. ALL OUTPUTS ARE FOR INFORMATIONAL AND ASSISTANCE PURPOSES AND MUST BE INDEPENDENTLY VERIFIED AND APPROVED BY A LICENSED PROFESSIONAL ENGINEER BEFORE USE IN ANY PROJECT. THE USER IS SOLELY RESPONSIBLE FOR ALL ENGINEERING DECISIONS, FINAL APPROVALS, AND TECHNICAL EVALUATIONS.

100% accuracy is not guaranteed. Lamp Logic shall not be held liable for any losses, damages, claims, or expenses arising from inaccuracies, omissions, or errors in the Outputs.

10. Intellectual Property

The Service, including all software, algorithms, models, interfaces, documentation, trademarks, and trade secrets, is and remains the exclusive property of Lamp Logic and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited license expressly set forth in Section 4.

Any non-confidential feedback, suggestions, or ideas you voluntarily provide regarding the Service may be used by Lamp Logic without restriction or obligation to you. Feedback that you clearly designate as confidential, or that contains your trade secrets or proprietary information, shall not be deemed licensed under this Section and will be treated as your Confidential Information.

11. DMCA / Copyright Policy

12. Fees, Subscriptions, and Refunds

Refund Policy. New subscribers may request a full refund within fourteen (14) days of their initial purchase by contacting steelgenie-support@allplan.com. After this fourteen-day period, all fees are non-refundable except where required by applicable law. Price Changes and Automatic Renewal. If your Subscription renews automatically, Lamp Logic will provide at least thirty (30) days advance written notice by email of any price increase applicable to your next renewal term. You may cancel at any time before the renewal date to avoid the revised fee. Price changes will not apply to your current paid Subscription period.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAMP LOGIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LAMP LOGIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR DETERMINING WHETHER THE SERVICE IS SUITABLE FOR YOUR INTENDED USE.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply to the maximum extent permitted by law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAMP LOGIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF LAMP LOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LAMP LOGIC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO LAMP LOGIC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

The limitations in this section do not apply to: (i) liability arising from Lamp Logic's gross negligence or willful misconduct; (ii) death or personal injury caused by Lamp Logic's negligence; (iii) Lamp Logic's indemnification obligations under these Terms; or (iv) any liability that cannot be limited or excluded under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Lamp Logic, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any third-party claim arising from the use of Outputs generated by the Service based on your User Content, including but not limited to claims related to structural failures, engineering errors, or property damage.

16. Export Controls and Sanctions

The Service may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, and sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent and warrant that: (a) you are not located in, or a resident or national of, any country subject to U.S. trade sanctions or embargoes; (b) you are not listed on any U.S. government restricted party list; and (c) you will not use the Service in violation of any applicable export control laws or sanctions.

17. Termination

Either party may terminate these Terms at any time by providing written notice to the other party. Lamp Logic may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that Lamp Logic reasonably believes is harmful to the Service, other users, or Lamp Logic's business interests.

Upon termination: (a) your license to use the Service immediately ceases; (b) you must cease all use of the Service; and (c) Lamp Logic will retain your User Content for thirty (30) days following termination to allow you to export it, after which your User Content will be permanently deleted, except where applicable law requires longer retention or where retention is necessary for pending legal claims, fraud prevention, or regulatory obligations. You may request earlier deletion at any time by contacting steelgenie-support@allplan.com. Sections 6, 9, 10, 13, 14, 15, 16, 18, 19, and 22 shall survive termination.

18. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of South Carolina, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

19. Dispute Resolution — Mandatory Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Agreement to Arbitrate. You and Lamp Logic agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, rather than in court, except that either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

The arbitration shall be conducted by a single arbitrator, in the English language, in the State of South Carolina, USA, or at another mutually agreed location. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs this Section. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND LAMP LOGIC AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR SHALL NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND SHALL NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of that court.

30-Day Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to Lamp Logic at steelgenie-support@allplan.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account identifier, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, the Governing Law and jurisdiction provisions in Section 18 shall apply.

Consumer Protection Carve-Out. Nothing in this Section shall be interpreted to deprive you of any mandatory consumer protection rights granted under the laws of your country or state of residence that cannot be waived by contract. If the mandatory consumer laws of your jurisdiction (including, where applicable, the laws of the European Union, the United Kingdom, or your member state) prohibit mandatory binding arbitration, a class action waiver, or require disputes to be adjudicated in a specific forum, those laws shall prevail over this Section to the extent of the conflict, and the Dispute shall be resolved in accordance with those mandatory provisions.

20. Electronic Communications Consent

By using the Service, you consent to receive electronic communications from Lamp Logic, including notices, agreements, disclosures, and other communications that Lamp Logic may provide electronically. You agree that all such communications satisfy any legal requirement that communications be in writing, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §§ 7001–7006) and applicable state laws.

21. Modifications to Terms

Lamp Logic reserves the right to modify these Terms. For non-material changes (such as typographical corrections, clarifications, or updates that do not adversely affect your rights), we will update the Effective Date and may notify you by in-app notice. For material changes (including, without limitation, changes to dispute resolution, arbitration, limitation of liability, or fees), Lamp Logic will provide at least thirty (30) days advance notice by email and will require your fresh, affirmative acceptance through the in-product click-through flow before the revised Terms apply to you. If you do not accept the revised Terms within the notice period, your Subscription will not renew and your access may be terminated in accordance with Section 17. Continued use of the Service after the effective date of non-material changes constitutes your acceptance of those changes.

22. Miscellaneous

  • Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement. These Terms, together with the Privacy Policy and any applicable Subscription agreement, constitute the entire agreement between you and Lamp Logic regarding the Service and supersede all prior agreements and understandings.
  • Assignment. You may not assign or transfer these Terms or any rights hereunder without Lamp Logic's prior written consent. Lamp Logic may assign these Terms without restriction.
  • Waiver. The failure of Lamp Logic to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Force Majeure. Lamp Logic shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, labor disputes, government actions, power failures, internet or telecommunications outages, or third-party service failures.
  • Notices. All legal notices to Lamp Logic must be sent to: Lamp Logic, 9769 Speedway Blvd, Hardeeville, SC 29927, USA, or by email to steelgenie-support@allplan.com. Notices to you may be sent to the email address associated with your account.
  • Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
  • Survival. Any provisions that by their nature should survive termination shall survive, including but not limited to ownership, warranty disclaimers, indemnification, limitation of liability, arbitration, and governing law.
